Important Notice and Request for
Consent to Electronic Delivery of Materials, Notices and Confirmations

Pursuant to SEC Regulation Crowdfunding, Rule 302 (a), you must carefully read and agree to the following provisions before continuing with opening an electronic account and registration process for spark.market (the “Platform”). We also recommend that you print a copy of this statement and keep a copy for your records.

Consent to Electronic Delivery. By clicking in the box marked “I consent” below, you hereby consent to Platform, intermediaries, and issuers (“us,” “we,” “our”) providing you all required Platform Documents, as defined below, electronically. This means you consent to our use of electronic communications (e.g., e­mail), electronic records, and electronic signatures rather than paper documents for all materials, notices, disclosures, account statements, communications, forms and agreements (the “Platform Documents”) provided to you by the us, or by you to the us, including but not limited to (i) the educational materials https://spark.market/educational-material disclosing any offer, purchase and issuance of securities through the Platform, including the risks of investing on the Platform or in any particular offering; (ii) the terms of use https://spark.market/terms-and-conditions, and privacy policyhttps://spark.market/privacy-and-gdpr, covering use of the Platform and collection and use of information from platform users; (iii) all current and future notices and/or disclosures provided to you by us, as well as such other Platform Documents regarding our relationship with you, issuers of securities sold on Platform, promoters of securities sold on Platform, or our affiliates or assigns; (iv) communications from you to us confirming your consent to notices provided by us and delivery of questionnaires from you to us demonstrating your acknowledgement of and/or agreement to disclosures provided us; (v) responses to communications or reconfirmations from you or documentation provided by you; (vi) all notices regarding your Platform account, any offering posted on the Platform or the agreements entered into through this Platform; and (vii) all changes and updates to any Platform Documents. You understand that your electronic signature to any Platform Document is legally binding, just as if you had signed a paper document. You also understand that by consenting to electronic delivery, we will not be mailing you copies of any Platform Documents that we have provided to you electronically.

Notice: You accept that such electronic communications provided to you by the us are reasonable and proper notice, for the purpose of any and all applicable state and federal laws, rules and regulations, including, but not limited to, the Regulation Crowdfunding Rules promulgated pursuant to Title III of the Jumpstart Our Business Startups Act, and agree that the electronic format of the Platform Documents fully satisfies any requirement that such communications be provided to you in writing or in a format that you may keep.

Communications shall be deemed delivered to you when sent by us and not when received.

Updating Your Information: It is your responsibility to provide us with a true, accurate and complete e­mail address or other contact information for us to provide you with documents and information electronically. If you should change your e­mail address in the future, you agree that you will immediately update your user account information and advise us of any such change.

Obtaining Paper Copies of Documents or Notices: If, after providing your consent, you wish to receive paper copies of certain documents required to be provided to you by law, you may request that a copy be mailed to you by emailing [email protected]. It is your responsibility to provide us with a true, accurate and complete mailing address in order for us to provide you with any such documents by mail. Please note that simply requesting certain documents be mailed to you will not withdraw your consent to receiving any other documents or information from us electronically. Your consent to our providing you with documents and information electronically will remain valid unless and until you have withdrawn your consent.

Hardware and System Requirements: When you create your Platform user account you confirm having: (i) access to a computer or other electronic device that can connect to the Internet; (ii) an e­mail address and, when applicable, e­mail software; (iii) web browsing software that enables you to access the Internet such as Internet Explorer or Mozilla Firefox and, when applicable, that can support encrypted communications; (iv) software that enables you to receive and view Portable Document Format (PDF) files, such as Adobe Acrobat Reader (available for a free download at www.adobe.com); and (iv) access to sufficient storage capacity for maintaining records of Platform Documents or the ability to print such records on paper by having a printer connected to your computer or other electronic device. You are responsible for the installation, maintenance, and operation of your own computer, browser, and software. Electronic Signature: Completing the registration process with the Platform constitutes your electronic signature. Any record containing an electronic signature shall be deemed for all purposes to have been “executed” and will constitute an “original” signature when printed from electronic records established and maintained by us, our affiliates, assigns or agents in the normal course of business. Upon the our request, you agree to manually sign or place your signature on any paper original of any electronic record provided to you containing your purported electronic signature.
